Riolith Media recognises that the long-term sustainability of its business, the confidence of its audiences, and the strength of its partnerships rely not only on the quality of the media it produces but equally on the ethical principles and professional standards by which it operates. These Business Principles form a cornerstone of the organisation’s culture and set out the standards of behaviour expected from all individuals and entities connected to its activities. They apply without exception to employees, directors, officers, freelancers, contributors, contractors, consultants, and all other third parties who represent or collaborate with Riolith Media.
These Principles complement applicable laws and contractual obligations. Where local legal requirements impose higher standards, those requirements shall prevail; where these Principles are more demanding than local practice, they must be observed as a condition of association with Riolith Media. Every individual engaged with the organisation is expected to be fully familiar with these Principles, to apply them consistently, and to seek guidance whenever uncertainty arises.
Integrity and Ethical Conduct
The integrity of Riolith Media is non-negotiable. We conduct all aspects of our operations with honesty, fairness, and transparency, and we expect the same from those who represent us. Decisions must never be influenced by improper motives or personal gain, and all dealings must withstand the highest standards of professional scrutiny. Bribery, corruption, facilitation payments, and the offering or acceptance of anything of value intended to secure an undue advantage are strictly prohibited.
Any form of conflict of interest must be identified, disclosed, and appropriately managed. A conflict of interest arises where personal interests, relationships, or external engagements could impair or appear to impair an individual’s ability to act in the best interests of the Company. Conflicts may be financial, familial, professional, or otherwise, and disclosure must be made in writing to enable review and mitigation.
Transparency is essential in financial practices. All transactions must be accurately recorded, supported by proper documentation, and conducted in compliance with applicable tax, accounting, and anti-money-laundering regulations. Fraud, misrepresentation, falsification of records, or concealment of material facts are prohibited. Individuals must not exploit insider knowledge obtained through their professional role for personal or third-party benefit, including securities trading.
Respect for People and Workplace Standards
Riolith Media is committed to maintaining a workplace where all individuals are treated with dignity, courtesy, and fairness. Discrimination on the basis of race, ethnicity, nationality, religion or belief, political opinion, gender, gender identity or expression, sexual orientation, disability, age, family or marital status, pregnancy, or any other protected characteristic under law is strictly prohibited. The Company has a zero-tolerance approach to harassment, including sexual harassment, bullying, intimidation, and any form of degrading treatment.
Labour standards must comply fully with applicable laws and with internationally recognised human rights conventions. All work must be freely chosen. Forced, bonded, trafficked, or prison labour is prohibited in all circumstances. No person under the legal minimum age for employment may be engaged, and no minor may be employed in hazardous conditions or in roles that interfere with compulsory education. Recruitment must be free of coercion, and no worker shall be required to pay fees to obtain employment.
Remuneration, working hours, rest breaks, holidays, and benefits must meet or exceed the standards set by law and collective agreements. Disciplinary practices must respect human dignity, and wages must not be withheld unlawfully or used as a means of coercion. Workers have the right to freedom of association, to organise, and to engage in collective bargaining in accordance with local law.
Occupational health and safety are of paramount importance. The Company is committed to providing safe and healthy working conditions across all operations, including offices, studios, production sets, and events. Hazards must be identified and controlled, appropriate training must be provided, and safety equipment must be available. Risk assessments must be carried out before production activities, photo shoots, or events, and specific safeguards must be implemented for vulnerable individuals, including minors.
Editorial Independence and Responsibility
The reputation of Riolith Media depends on its editorial independence and the trustworthiness of its content. Accuracy, impartiality, and responsibility are the cornerstones of our media output. Journalists, editors, contributors, and creative staff must avoid conflicts of interest and ensure that editorial judgment is never compromised by commercial or political considerations.
Factual information must be verified to the extent practicable, and sources should be reliable and clearly attributed unless protection of anonymity is justified. Misrepresentation, plagiarism, manipulation of content, or distortion of facts is unacceptable. Paid content, advertising, or sponsorship must be clearly distinguished from editorial material in accordance with applicable laws and industry standards.
Confidential sources, proprietary information, and unreleased editorial material must be safeguarded. Information obtained in the course of journalistic activity must be used responsibly and never disclosed without proper authorisation. Intellectual property created for or by Riolith Media belongs to the Company, unless expressly agreed otherwise in writing.
Protection of Assets and Information
The assets of Riolith Media, whether tangible or intangible, financial or intellectual, must be safeguarded against loss, theft, misuse, or unauthorised disclosure. Company property and resources must be used only for legitimate business purposes, and personal use is prohibited unless specifically authorised. Misuse of assets, including unauthorised copying or distribution of intellectual property, constitutes a breach of duty.
Confidential information includes but is not limited to unpublished editorial content, production schedules, layouts, images, financial records, business strategies, pricing, and personal data. Such information must be accessed only where necessary for legitimate duties and disclosed only to authorised persons under conditions of confidentiality. The duty to maintain confidentiality survives termination of employment or engagement.
Information systems and networks must be used responsibly and securely. Individuals must not introduce malicious software, disable security protections, or attempt unauthorised access to systems or data. Passwords and access credentials must be protected, and sensitive communications must be encrypted or otherwise secured.
Data Protection and Privacy
Riolith Media is committed to safeguarding personal data and complying with all applicable data-protection laws, including the General Data Protection Regulation (GDPR). Personal data must be processed lawfully, fairly, and transparently, for specific and legitimate purposes, and must be minimised to what is necessary for the relevant purpose. Accuracy must be maintained, retention limited to what is necessary, and security measures implemented to protect against unauthorised or unlawful processing, accidental loss, destruction, or damage.
International transfers of personal data must comply with legal requirements, and appropriate safeguards such as Standard Contractual Clauses must be implemented where applicable. Data breaches or suspected incidents must be reported immediately through established channels so that regulatory obligations can be met.
Fair Competition and Business Practices
Riolith Media is committed to fair and open markets. Antitrust and competition laws must be observed at all times. Individuals must not engage in collusion, price-fixing, bid-rigging, or any other anti-competitive practices. Sensitive commercial information must not be shared with competitors.
All commercial practices, advertising, and marketing must be transparent, honest, and in compliance with consumer-protection laws. Misleading statements, hidden sponsorship, or deceptive advertising practices are strictly prohibited.
The Company complies fully with sanctions, export-control laws, and trade restrictions. No business shall be conducted with sanctioned individuals, entities, or jurisdictions without appropriate legal authorisation.
Environmental and Social Responsibility
Riolith Media acknowledges its responsibility to society and to the environment. We are committed to integrating sustainability into our business practices by reducing waste, minimising energy consumption, and promoting the use of sustainable resources. Productions and events must be designed to minimise environmental impact, with careful attention to materials, transportation, and energy efficiency.
The Company expects all associated individuals and entities to respect internationally recognised human-rights standards, to conduct supply-chain due diligence to identify and mitigate risks of forced labour and modern slavery, and to remediate adverse impacts where they occur. Partnerships should reflect our values of social responsibility and sustainability.
Accountability and Enforcement
These Business Principles are binding and enforceable. Failure to comply may result in disciplinary action, termination of employment or engagement, or termination of contracts with partners or third parties. Riolith Media reserves the right to monitor compliance, to request evidence, and to conduct audits where appropriate.
Reports of violations of these Principles must be made promptly and in good faith. The Company prohibits retaliation against any person who raises concerns or cooperates in an investigation. Breaches will be addressed swiftly and fairly, and corrective measures will be taken as necessary to protect the integrity of the Company and the interests of its stakeholders.
